Terms of Service

By accessing or using the Spearhub website, products, or services (collectively, the "Services"), you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree, please do not use the Services.

If you are entering into these terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these terms.

Spearhub provides AI transformation services, including AI agent development, workflow automation, AI strategy and consulting, application engineering, and related professional services. Specific engagements are governed by separate written agreements between Spearhub and the client.

You must be at least 18 years old and capable of forming a binding contract to use the Services. Where account registration is required, you agree to provide accurate, current, and complete information and to keep your credentials confidential. You are responsible for all activity that occurs under your account.

You agree not to use the Services to violate any law, infringe intellectual property or privacy rights, transmit malicious code, attempt unauthorized access to any system, interfere with the operation of the Services, or engage in any activity that could harm Spearhub, its clients, or third parties.

The Services, including all content, software, designs, and trademarks made available by Spearhub, are owned by Spearhub or its licensors and are protected by intellectual property laws. Except for the limited rights expressly granted, no rights are transferred to you.

Deliverables created under a client engagement are governed by the terms of the applicable services agreement.

The Services may integrate with or reference third-party products, platforms, or content. Spearhub is not responsible for the availability, accuracy, or practices of any third party, and your use of third-party services is subject to their own terms.

Both parties agree to maintain the confidentiality of information marked as confidential or that a reasonable person would consider confidential given the nature of the information and the circumstances of disclosure, and to use such information only for the purposes contemplated by these terms or the applicable engagement.

The Services are provided on an "as available" basis. To the fullest extent permitted by law, Spearhub disclaims all warranties, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Spearhub does not warrant that the Services will be uninterrupted, error-free, or free of harmful components, or that results obtained from use of the Services will be accurate or reliable.

To the maximum extent permitted by law, Spearhub and its affiliates, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or business opportunities, arising out of or relating to your use of the Services.

Spearhub's aggregate liability for any claims arising out of or relating to these terms or the Services will not exceed the amounts paid by you to Spearhub for the Services during the twelve months preceding the event giving rise to the claim.

You agree to defend, indemnify, and hold Spearhub harmless from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to your use of the Services, your violation of these terms, or your infringement of any third-party right.

We may suspend or terminate your access to the Services at any time, with or without notice, if we believe you have violated these terms or if we determine that continued access poses risk to Spearhub, our clients, or third parties. Provisions that by their nature should survive termination will continue to apply.

These terms are governed by the laws of India, without regard to conflict-of-laws principles. Any dispute arising out of or relating to these terms or the Services will be subject to the exclusive jurisdiction of the courts located in Hyderabad, India, unless a separate written agreement between the parties specifies otherwise.

We may update these Terms of Service from time to time. When we do, we will update the effective date below and, where appropriate, provide additional notice. Your continued use of the Services after any change constitutes acceptance of the updated terms.
